TERMS OF SERVICE

Please read these Terms of Service ("ToS" or "Terms") carefully. The users, subscribers, partners, and viewers ("Users") accept the terms of this ToS by accessing and/or utilizing the services of POTOLO (the "Company"). The Users acknowledge that they agree to these Terms and accept the rights and obligations created by it. This ToS is drafted to outline the relationship between the Users and the Company and is designed to comply with applicable laws and standards.

1. INTRODUCTION

1.1 Overview of POTOLO Shops Services

POTOLO operates an online marketplace platform ("Shops Platform") that allows Users to browse product listings, place orders for goods from independent merchant partners, make payments, track order fulfillment, and manage returns or exchanges if applicable. The Shops Platform is owned and operated by POTOLO, which acts as a technology intermediary connecting Users with independent merchants who sell physical goods through the platform.

POTOLO is not the seller of goods listed on the platform unless explicitly stated. Independent merchants set prices, determine product availability, handle packaging and shipping, and are solely responsible for the quality, description, and condition of products they sell.

1.2 Acceptance of Terms

By accessing and using the Shops Platform, you agree to be bound by these Terms. These Terms apply to all Users of the Shops Platform, including but not limited to, browsers, buyers, sellers, merchants, and content contributors.

1.3 Amendments to Terms

POTOLO reserves the right to modify, add, or remove portions of these Terms at any time without prior notice. Updates will be posted on the Shops Platform. Continued use after any changes constitutes acceptance of the updated Terms.

2. ELIGIBILITY

2.1 Age Requirement

Access to and use of the Shops Platform is restricted to individuals who are at least eighteen (18) years of age or the age of majority in the jurisdiction from which the platform is accessed, whichever is higher.

2.2 User Accounts

Users may be required to create an account to purchase products. You agree to provide accurate, current, and complete information. You are responsible for maintaining account security and for any activity under your credentials.

2.3 Prohibited Uses

You agree not to use the Shops Platform for unlawful purposes or to access or attempt to access restricted areas of the platform. Prohibited uses include interference with platform operations, fraudulent transactions, unauthorized access attempts, abuse of platform users, and posting prohibited content.

3. PRODUCTS, ORDERS, AND FULFILLMENT

3.1 Product Listings

Independent merchants on the Shops Platform create product listings. POTOLO does not guarantee the accuracy or legality of product descriptions, images, or availability.

3.2 Orders and Acceptance

Your placement of an order is an offer to purchase products. An order is not accepted by POTOLO until the payment has been processed and the merchant has confirmed the order.

3.3 Pricing and Fees

Prices may include applicable taxes and shipping charges, which will be displayed at checkout. POTOLO reserves the right to adjust prices and fees at any time.

3.4 Shipping and Delivery

Shipping terms, delivery windows, and associated fees are determined by the merchant partner unless otherwise stated. Estimated delivery times are not guaranteed.

3.5 Returns and Refunds

Return, exchange, and refund policies vary by merchant. It is your responsibility to review and comply with the applicable merchant's policies.

4. PAYMENT TERMS

4.1 Accepted Payment Methods

The Shops Platform may offer multiple payment methods, including credit cards, debit cards, and digital wallets. Users must ensure that their payment information is accurate and that sufficient funds are available.

4.2 Payment Security

POTOLO employs security measures to protect payment data, but no system can be guaranteed to be completely secure. Unauthorized access or disclosure of payment information is not the responsibility of POTOLO.

5. USER OBLIGATIONS

5.1 Accurate Information

Users must provide accurate and current information when using the Shops Platform. Failure to do so may result in order delays, inability to fulfill orders, or account restriction.

5.2 Compliance with Laws

Users are responsible for compliance with all applicable local, national, and international laws when using the platform.

5.3 Respectful Conduct

Users must respect other users and merchants. Harassment, abuse, discrimination, or misuse of the platform is prohibited and may result in account suspension or termination.

6. INTELLECTUAL PROPERTY

All content, trademarks, logos, and service marks on the Shops Platform are owned by POTOLO or its licensors. Users may not use any content without express written permission. Users grant POTOLO a license to use any content they post.

7. LIMITATION OF LIABILITY AND INDEMNIFICATION

To the fullest extent permitted by law, POTOLO is not liable for any indirect, incidental, consequential, or punitive damages related to the use of the Shops Platform, product quality, delivery, or merchant conduct. Users agree to indemnify and hold POTOLO harmless from any claims arising from their use of the platform or violation of these Terms.

8. TERMINATION

POTOLO may suspend or terminate access to the Shops Platform at its discretion, with or without notice, for conduct violating these Terms.

9. GOVERNING LAW

These Terms are governed by the laws of the United States, State of New Jersey. Any disputes shall be resolved in the courts of New Jersey, subject to applicable legal requirements.
